‘REFER A FRIEND’ PROMOTION
MULPHA NORWEST QUARTER DEVELOPMENT PTY LIMITED
Key Defined Terms
The following terms have the corresponding meaning in these Terms and Conditions:
Apartment means an apartment at the Property.
Contract means a binding contract for the purchase of an Apartment.
Eligible Buyer means a natural person 18 years or older and who was not, prior to the Promotion Period, already party to a Contract.
Mulpha means Mulpha Norwest Quarter Development Pty Ltd.
Mulpha’s Agent means Mulpha’s sales agent in respect of the sale of Apartments, being Alan Sullivan of Norwest Real Estate Pty Ltd.
Property means the residential apartment building being developed by Mulpha (currently under construction) known as ‘Norwest Quarter’ (stage 1), situated at 40 Solent Circuit, Norwest NSW 2153.
Referral Gift means a gift card / voucher (or similar) to the total value of $5,000 which is redeemable at either InterContinental Hotel Sydney or InterContinental Sanctuary Cove Resort or InterContinental Hayman Island Resort.
Referrer means a natural person 18 years or older who, prior to (or during) the Promotion Period:
• entered / enters into a Contract; and
• opts-in to participate in the Referral Promotion and be bound by these Terms and Conditions.
Referral Form means the form (in the format prescribed by Mulpha from time to time) which must be completed by the Referrer in respect of each Eligible Purchaser who is referred to the Property by a Referrer.
Referral Period means the period during which the Referral Promotion is active, being the period beginning at 10am AEST on 1 April 2025 and ending at 5pm AEST on 1 June 2025.
Referral Promotion means the promotion described by these Terms and Conditions, whereby a Referrer may, subject to these Terms and Conditions, be entitled to receive a Referral Gift.
General Terms and Conditions
(1) A Referrer may elect to participate in the Referral Promotion by opting-in to do so.
(2) These Terms and Conditions become binding on the Referrer at the time the Referrer opts-in to the Referral Promotion. The right to participate in the Referral Promotion (including any entitlement to a Referral Gift) is, at all times, subject to these Terms and Conditions.
(3) Mulpha may, in its discretion, vary these Terms and Conditions from time to time and any such variations will be effective and binding on the Referrer 24 hours after they are communicated to the Referrer.
(4) The Referral Promotion is not open to (and as such, neither a Referrer nor an Eligible Buyer can be) employees, agents or consultants of Mulpha (including those of any Related Body Corporate or Affiliate of Mulpha, as those terms are defined in the Corporations Act (Cth) 2001).
(5) The Referrer is not, and must not represent, imply or hold out in any way that they are, a representative, agent or contractor of Mulpha, and nothing in these Terms and Conditions (including opting-in to the Referral Promotion) is intended to give rise to such a relationship. Referrers must not, nor purport to, make any representations, warranties, promises, commitments or other assurances on behalf of Mulpha or otherwise in respect of the Property or an Apartment.
(6) Referrers must (and acknowledge and agree they will) as a fundamental requirement of these Terms and Conditions, disclose to all Eligible Buyers in respect of whom they submit a Referral Form under clause (10) below, that the Referrer:
(a) is participating in the Referral Scheme; and
(b) (if the Eligible Buyer enters into a Contract) may become entitled to receive a Referral Gift.
(7) The Referrer’s disclosure to Eligible Buyers as required under clause 6 must be made by the Referrer to the relevant Eligible Buyer BEFORE the Referrer submits the Referral Form in respect of that Eligible Buyer to Mulpha’s Agent.
Referrers must not in any way attempt to mislead an Eligible Buyer in respect of, or otherwise attempt to conceal their participation in, the Referral Promotion.
Entitlement to Referral Gift
(8) A Referrer’s entitlement to receive a Referral Gift is, at all times, subject to and conditional upon these Terms and Conditions and the Referrer’s strict and full compliance with them.
(9) A Referrer will become entitled to receive a Referral Gift where:
(a) an Eligible Buyer who is referred to the Property by the Referrer (and who is the subject of an approved Referral Form – see clause 11) enters into a Contract, during the Referral Period; and
(b) the Referrer is not in breach of (and has otherwise complied in all respects with) these Terms and Conditions.
(10) Subject to clause (7), the Referrer must complete a Referral Form for each Eligible Buyer they refer to the Property and email it to Mulpha’s Agent before the relevant Eligible Buyer makes contact with Mulpha’s Agent or otherwise attends the Property to inspect an Apartment.
(11) Referral Forms are subject Mulpha’s approval, which may be given or withheld by Mulpha or Mulpha’s Agent, at their sole and unfettered discretion. Mulpha or Mulpha’s Agent may, at their absolute discretion, withhold their approval of, or reject,
any Referral Form, including any Referral Forms which have been previously approved where Mulpha or Mulpha’s Agent suspect misrepresentation or dishonesty in connection with that Referral Form. Neither Mulpha nor Mulpha’s Agent are obliged to provide their reasons for withholding approval of, or rejection of, any Referral Form.
(12) Referrers will not be contacted to be advised whether a Referral Form has or has not been approved, or has been rejected. Referrers must be (and acknowledge and agree they are) responsible for ensuring they are aware of the approval status of all Referral Forms they submit.
(13) If a Referral Form is not approved or is rejected, the Referrer will not be entitled to a Referral Gift, regardless of whether the relevant Eligible Buyer the subject of the nonapproved / rejected Referral Form enters into a Contract.
(14) Only Referrers who become entitled to receive a Referral Gift will be contacted. Contact will be by phone or email using the details included by the Referrer when they opted-in to the Referral Promotion (Entitled Referrers).
(15) Entitled Referrers will be contacted by Mulpha or Mulpha’s Agent as soon as reasonably practicable after they become entitled to a Referral Gift. During that contact, Entitled Referrers must elect where the Referral Gift will be utilised (ie, at InterContinental Hotel Sydney or InterContinental Sanctuary Cove Resort or InterContinental Hayman Island Resort) in order that the requisite Referral Gift can be processed and provided.
(16) Referral Gifts will be issued to Entitled Referrers by email (to the email address provided by the Referrer when they opted-in to the Referral Promotion) within fourteen (14) days of the Referrer being contacted under clause (15) above. Mulpha’s obligations under these Terms and Conditions (including the obligation to provide the Referral Gift to an Entitled Referrer) are fully satisfied and discharged simultaneously, at the time at which Mulpha emails the Referral Gift to the relevant Entitled Referrer in accordance with this clause (16).
(17) There is no limit to the number of Eligible Buyers that a Referrer may refer to the Property under the Referral Promotion.
(18) If an Eligible Buyer is referred by more than one Referrer, only the first referral will be recognised as potentially being entitled to a Referral Gift. Mulpha accepts no liability or responsibility to any subsequent Referrers and will not be drawn into any dispute in that regard. This includes circumstances where the first Referrer, for any reason, is not entitled to (or becomes disentitled to) receive a Referral Gift in respect of that Eligible Buyer. Mulpha will be the sole arbiter of any disputes in this regard and any decision made by Mulpha in respect of any dispute between Referrers (including any entitlement to a Referral Gift) is final and binding.
(19) Mulpha is not the issuer of the Referral Gifts. Mulpha merely procures them and provides them to Entitled Referrers. The Referral Gifts are strictly subject to and conditional upon all terms and conditions imposed by the issuer in respect of them. Referrers must contact the issuer in respect of all enquiries, questions, redemption, use, validation, operation etc of the Referral Gift. The Referrer acknowledges and agrees that Mulpha is not responsible for, and releases Mulpha from any liability in respect of, disputes, losses, costs, damages of any kind however arising in connection with the Referral Gift (including but not limited to the redemption of, or terms and conditions which apply in respect of, the Referral Gift).
(20) The Referral Gift is non-transferrable, non-refundable, cannot be varied once issued and cannot be exchanged for cash. All taxes which may be payable as a consequence of receiving the Referral Gift or participating in the Referral Promotion are the sole responsibility of the Referrer.
(21) The Referrer forfeits all rights to participating in the Referral Promotion (including receiving any Referral Gift) if the Referrer breaches any of these Terms and Conditions.
(22) This Referral Promotion cannot be used in conjunction with any other promotion or campaign promoted by Mulpha.
(23) To the fullest extent permitted by law, neither Mulpha nor any of its Related Bodies Corporates or Affiliates (as those terms are defined in the Corporations Act (Cth) 2001) are liable to the Referrer, the Eligible Purchaser or any other person for any direct, indirect, consequential, exemplary, incidental, special or punitive damages (including without limitation any such damages in the nature of loss of: profit, reputation, goodwill, future earnings, income, opportunity, loss of data) whether or not foreseeable, however arising (including in tort, equity, breach of contract or otherwise) in connection with the Referrer’s participation in the Referral Promotion, even if Mulpha has been advised of the possibility of such damages.
(24) Mulpha reserves the right, at its sole discretion, to cancel, terminate or suspend the Referral Promotion at any time, without notice.
(25) These Terms and Conditions are governed by the laws of New South Wales.
Privacy Collection Statement
Under clauses (26)-(28), a reference to ‘you’ is a reference to the Referrer.
(26) Mulpha Norwest Quarter Development Pty Ltd collects and uses personal information about you to promote its products and services and may disclose personal information to third parties agents and services providers. Mulpha Norwest Quarter Development Pty Ltd also uses your personal information for related purposes including to request your feedback on the products and services provided by Mulpha Norwest Quarter Development Pty Ltd. If you do not provide all the personal information Mulpha Norwest Quarter Development Pty Ltd requests from you, Mulpha Norwest Quarter Development Pty Ltd may be unable to provide these products or services to you.
(27) Mulpha Norwest Quarter Development Pty Ltd may disclose personal information about you to third party agents and service providers to assist Mulpha Norwest Quarter Development Pty Ltd in the operation of its business to provide the products and services you request. Your personal information may also be disclosed to overseas recipients who use the personal information to assist Mulpha Norwest Quarter Development Pty Ltd in the operation of its business in countries including, but not limited to Malaysia.
(28) Mulpha Norwest Quarter Development Pty Ltd Privacy Policy (https://www.norwestquarter.com.au/privacy-policy/) contains information about how you may request access to and correction of personal information Mulpha Norwest Quarter Development Pty Ltd holds about you, or to make a complaint about an alleged breach of the Australian Privacy Principles.
